1. Who we are
This website and its services are provided by BB Sanders Holding BV, trading as Sikams Production Atelier (Produksi Sikams Atelier), registered in the Netherlands under KVK no. 77223969 and VAT no. NL860939728B01, with registered address Stakenborgakker 8, the Netherlands. Our production facility is located in Sukawati, Gianyar, Bali, Indonesia. In these terms, "we", "us" and "our" refer to Sikams Production Atelier, and "you" refers to the client or website visitor.
2. About these terms
These terms apply to the use of this website and to enquiries made through it. They set out the general basis on which we work. They do not replace any separate written agreement or quotation between us and a client, which will take precedence over these terms where there is any conflict.
3. Our services
Sikams Production Atelier is a jewelry production partner. We manufacture silver and gold jewelry to order for brands, labels and retailers, based either on our existing catalogue or on custom briefs supplied by clients. We work as a production and manufacturing partner; we do not provide investment, legal or valuation advice.
4. Enquiries, quotes and orders
Information shown on this website is for general presentation only and does not constitute a binding offer. All production work is subject to a separate written agreement or quotation confirmed between us and the client. Prices, minimum quantities, materials, specifications, lead times and payment terms are agreed per project in that quotation or agreement.
Unless agreed otherwise in writing, an order is confirmed only once we have received your written approval of the relevant quotation and any agreed deposit. We may decline or postpone any enquiry or order at our discretion.
5. Briefs, designs and intellectual property
When you submit a brief, designs, artwork or reference materials to us, you confirm that you own them or have the right to use them for the purpose of production, and that they do not infringe the rights of any third party.
You retain ownership of your own designs. We will not reuse client-specific designs, or produce them for other clients, without your permission. Ownership of any custom tooling, moulds, master models and production files, as well as rights in samples, is agreed per project in writing. Where nothing is agreed, such tooling and models remain with us as part of our production process.
We may show general, non-confidential examples of our craftsmanship (for instance, catalogue pieces or process photography) for our own portfolio and marketing, but we will not disclose confidential client work covered by a confidentiality arrangement.
6. Samples and pre-production
Where samples or pre-production pieces are agreed, they are provided for approval before a full production run. You are responsible for reviewing and approving samples. Once a sample is approved, it forms the reference standard for the production run, subject to the natural variation described below.
7. Materials, precious metals and variation
Our work is handcrafted and uses natural materials and precious metals. Minor variations in finish, colour, weight, texture and appearance between individual pieces, and between samples and final production, are inherent to handmade work and to natural materials, and do not constitute a defect.
Precious-metal content and pricing may be affected by market fluctuations. Where relevant, the basis for metal pricing (for example, a reference rate at the time of order) will be set out in the applicable quotation. Weights and dimensions are produced to reasonable tolerances agreed per project.
8. Lead times and delivery
Lead times are estimates given in good faith and are confirmed per project. We are not responsible for delays caused by circumstances beyond our reasonable control, including but not limited to supply of materials, customs, shipping, or events of force majeure. Risk and responsibility for shipping, import duties and taxes are allocated as set out in the applicable quotation or agreement.
9. Payment
Payment terms, currency, deposits and instalments are set out in the applicable quotation or agreement. Unless agreed otherwise, production begins after written confirmation and receipt of any agreed deposit, and the balance is due before dispatch. Late payment may result in suspension of work or delivery.
10. Quality and claims
We take care to produce work to the agreed specification and approved sample. If you believe a delivered item does not meet the agreed specification, you must notify us in writing within a reasonable period after receipt, providing details and, where possible, photographs, so that we can assess the claim. Variations inherent to handmade work and natural materials, as described above, are not grounds for a claim.
11. Liability
To the fullest extent permitted by applicable law, our total liability arising out of or in connection with any order is limited to the value of that order. We are not liable for indirect, incidental or consequential loss, including loss of profit, loss of business or reputational loss. Nothing in these terms limits liability that cannot be limited under applicable law.
12. Confidentiality
Where the parties agree to keep certain information confidential, each party will use the other's confidential information only for the purpose of the project and will take reasonable steps to protect it. Specific confidentiality arrangements, where required, are agreed separately in writing.
13. Force majeure
We are not liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including natural events, disruption to supply of materials or utilities, transport or customs delays, labour disruption, or governmental measures.
14. Governing law and jurisdiction
These terms, and any dispute or claim arising out of or in connection with them or our services, are governed by the laws of the Republic of Indonesia, unless mandatory law provides otherwise. The parties will first seek to resolve any dispute amicably before pursuing other remedies.
15. Changes to these terms
We may update these terms from time to time. When we do, we will revise the "last updated" date above. The terms in force at the time an order is confirmed apply to that order.
